Terms of Service

Effective date: October 26, 2026 · Last updated: October 26, 2026

Welcome to GigRdy. These Terms and Conditions (“Terms”) govern your access to and use of the GigRdy website, platform, applications, and related services (collectively, the “Platform”).

By creating an account, accessing the Platform, posting a project, accepting a project, or otherwise using GigRdy, you agree to these Terms. If you do not agree, you may not use the Platform.

1. ABOUT GIGRDY

GigRdy is a workforce marketplace designed to connect businesses and project owners with individuals whose skills, experience, and availability align with specific project needs.

The Platform supports project discovery, skills-based matching, availability, project offers, contracting, payment coordination, and project tracking.

GigRdy is a marketplace facilitator. Unless expressly agreed in a separate written agreement, GigRdy does not act as the employer, employer of record, staffing agency, or direct supervisor of individuals using the Platform. GigRdy does not guarantee that a project will be filled, that a worker will be selected, or that any particular outcome will be achieved.

Nothing in these Terms overrides applicable law concerning employment, staffing, worker classification, or other legal obligations.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

You must provide accurate, current, and complete information when creating an account and using the Platform.

You agree to:

  • Maintain the accuracy of your account and profile information.
  • Keep your login credentials secure.
  • Use the Platform only for lawful purposes.
  • Avoid impersonating another person or misrepresenting your qualifications, business, or authority.
  • Notify GigRdy promptly of unauthorized account access.
  • Maintain only accounts permitted under GigRdy's account policies.

GigRdy may request additional information or documentation to verify an account, business, identity, qualifications, or eligibility to participate in a project.

GigRdy reserves the right to restrict, suspend, or terminate accounts in accordance with these Terms and applicable law.

3. USER ROLES

3.1 Employers and Project Owners

Employers and project owners may use GigRdy to identify potential workers, create project opportunities, review matches, communicate project requirements, and initiate project offers and contracts.

Employers are responsible for providing accurate project descriptions, compensation terms, schedules, locations, qualifications, deliverables, and other material requirements.

Employers must have the legal authority to offer and approve the projects they submit.

3.2 Jobseekers and Workers

Individuals using GigRdy to find and accept projects are responsible for maintaining accurate profiles, including their skills, work history, experience, availability, and any other information relevant to project matching.

Workers must review project requirements and contractual terms before accepting an offer.

Workers may not misrepresent their qualifications, availability, identity, or ability to perform the agreed work.

Use of GigRdy does not guarantee project placement, a minimum number of projects, or a particular level of income.

4. SKILLS-BASED MATCHING

GigRdy may use profile information, experience, skills, project history, stated constraints, availability, and other relevant information to identify and rank potential matches. Match scores, recommendations, rankings, and suggested candidates are informational tools intended to assist decision-making. They are not guarantees of suitability, performance, reliability, or project completion.

Employers remain responsible for evaluating candidates and making selection decisions. Workers remain responsible for evaluating project opportunities before accepting them.

GigRdy may modify its matching methods, ranking criteria, and Platform features as the service evolves.

5. PROJECT OFFERS AND APPROVAL

A project may proceed only after the required steps have been completed, including:

  1. The employer identifies and selects a worker.
  2. The project terms and compensation are presented.
  3. The required project agreements and other applicable documents are signed by the relevant parties.
  4. The employer pays all required amounts.
  5. All required funds have cleared into the designated GigRdy account or payment-processing arrangement.

Work must not begin until all required documents are signed and all required payments have cleared.

An offer, match, or preliminary discussion does not independently authorize work to begin.

The employer is responsible for ensuring that the project scope, schedule, compensation, deliverables, and other material terms are clearly established before work begins.

6. PROJECT CONTRACTS

Employers may upload their own project contracts for signature through the Platform where that functionality is available.

An employer's project contract is separate from any agreement between GigRdy and the employer.

Users are responsible for reviewing all documents before signing them. Each party is responsible for understanding the obligations created by the agreements to which it is a party.

Project-specific contracts may address:

  • Scope of work and deliverables.
  • Compensation and payment terms.
  • Work schedules and milestones.
  • Confidentiality and nondisclosure.
  • Intellectual property ownership and usage rights.
  • Equipment, expenses, and reimbursements.
  • Cancellation and termination.
  • Other project-specific responsibilities.

If these Terms conflict with a separately signed agreement concerning a particular project, the applicable agreement will govern that project-specific matter to the extent permitted by law. These Terms continue to govern use of the GigRdy Platform.

GigRdy is not a substitute for independent legal review of project contracts.

7. SERVICE FEES AND PAYMENTS

7.1 GigRdy Service Fee

GigRdy charges a service fee of 25%, calculated according to the fee basis and amount disclosed during the applicable project approval process.

The applicable fee and any other required payment amounts must be disclosed before the employer approves the project.

Unless otherwise expressly disclosed, GigRdy does not charge employers a separate subscription fee, project-posting fee, or candidate-search fee.

7.2 When Payment Is Due

The employer's required GigRdy service fee is due when the employer approves the project.

All required documents must be signed and all required payments must clear before work begins.

A payment initiation, authorization, or pending transaction does not constitute confirmation that funds have cleared.

7.3 Payment Processing

Payments may be processed through GigRdy's designated third-party payment providers and supported payment methods.

Users agree to provide accurate billing and payment information and authorize applicable charges they approve through the Platform. Payment processing may be subject to additional terms imposed by the applicable payment provider.

GigRdy does not guarantee processing times controlled by banks, payment providers, or other financial institutions.

7.4 Payment Records

Users are responsible for reviewing project amounts, fees, payment confirmations, and transaction records.

Any discrepancy should be reported promptly through GigRdy's designated support channel.

Nothing in these Terms waives any rights or obligations that cannot lawfully be waived under applicable payment, consumer protection, or employment laws.

8. CANCELLATIONS, WITHDRAWALS, AND REFUNDS

Project cancellations and worker withdrawals must be submitted through the Platform when the relevant functionality is available.

8.1 Initial Decision Window

GigRdy provides a 24-hour decision window for applicable project or worker-duration decisions, as specified during the project approval process.

The applicable start time, deadline, and consequences will be displayed or otherwise communicated to the parties.

Users should review the project details carefully and submit any cancellation or withdrawal request within the applicable window.

8.2 Employer Cancellation

When an employer requests cancellation, GigRdy will apply the cancellation and refund rules disclosed for the project.

Any applicable refund will be calculated based on the project terms, payments received, payment status, work already performed, and other relevant contractual obligations.

The GigRdy service fee becomes non-refundable after the applicable 24-hour decision window, subject to any rights that cannot be excluded under applicable law and any separate written agreement.

8.3 Cancellation While Payments Are Pending

If a cancellation occurs while a transaction is pending, the relevant funds may need to clear before the refund can be processed.

Once the applicable funds have cleared, a 15% cancellation fee may be deducted from the amount being refunded, as disclosed in the applicable cancellation terms.

The final refund calculation will account for any applicable service fees, cancellation fees, work performed, and other amounts authorized by the project agreement and applicable law.

Any deductions will be disclosed to the extent required by law.

8.4 Refund Processing

Approved refunds are generally processed within 3–5 business days after processing begins. Actual receipt may take longer depending on the payment method, bank, payment provider, and transaction status.

A refund is not considered complete merely because it has been initiated.

8.5 Worker Withdrawal

A worker may submit a withdrawal request through the Platform.

If a worker withdraws from an active project, the worker is entitled to payment for work performed in accordance with the applicable project agreement and applicable law.

The employer may be offered the following options, where available:

  • Replace: Seek another suitable worker for the project.
  • Close Project: Close the project rather than seek a replacement.

The employer may not be offered a cancellation option that conflicts with the applicable withdrawal workflow.

A worker may cancel a withdrawal request when the Platform permits it and the withdrawal has not been finalized.

GigRdy may request a reason for a cancellation or withdrawal from either party and may retain that information for project administration, dispute resolution, fraud prevention, and service improvement, subject to its Privacy Policy.

9. PROJECT TRACKING AND COMMUNICATION

Users agree to use available Platform tools honestly and in good faith to communicate project requirements, document relevant milestones, track time where applicable, and maintain accurate project status information.

Employers must not request work outside the agreed scope without appropriate authorization and agreement on any necessary changes to compensation, schedule, or deliverables.

Workers must communicate material delays, availability changes, and circumstances that may affect their ability to fulfill project obligations.

Users must not knowingly submit false time records, fabricated milestones, inaccurate project completion information, or misleading payment claims.

GigRdy may maintain project records to support administration, payment reconciliation, customer support, and dispute resolution.

10. USER CONDUCT

Users agree not to:

  • Use the Platform for unlawful, fraudulent, deceptive, or discriminatory purposes.
  • Submit false or misleading profiles, credentials, project descriptions, or payment information.
  • Circumvent Platform fees or payment procedures where prohibited by applicable Platform agreements.
  • Harass, threaten, exploit, or discriminate against other users.
  • Upload malicious software or attempt to compromise the Platform's security.
  • Access another user's account or information without authorization.
  • Scrape, copy, or misuse Platform data without permission.
  • Interfere with the Platform's operation or attempt to reverse engineer restricted systems.
  • Use another person's confidential or personal information without proper authorization.
  • Misuse the Platform to distribute spam or conduct unauthorized solicitations.

GigRdy may investigate suspected violations and take proportionate action, including removing content, restricting access, suspending accounts, or terminating accounts where appropriate.

11. USER CONTENT AND INTELLECTUAL PROPERTY

Users retain ownership of the content and materials they own and submit to the Platform, subject to any rights granted in a separate agreement.

By submitting profile information, resumes, portfolios, project descriptions, or other content, you grant GigRdy a limited, non-exclusive license to host, store, reproduce, display, and process that content as reasonably necessary to operate, maintain, secure, and improve the Platform and provide the services you request.

This license does not independently transfer ownership of your work to GigRdy.

Users are responsible for ensuring that they have the necessary rights and permissions to submit their content.

Ownership and permitted use of project deliverables, footage, creative materials, software, designs, and other work products must be established in the applicable project contract or other written agreement.

GigRdy's name, logo, branding, software, design, and Platform materials are owned by or licensed to GigRdy and may not be used without authorization.

12. RESUMES, ARTIFICIAL INTELLIGENCE, AND AUTOMATED TOOLS

GigRdy may use automated tools, including artificial intelligence, to analyze resumes, extract skills and experience, identify relevant qualifications, and support project matching.

These tools are intended to assist users and may produce incomplete, inaccurate, or outdated results.

Users are responsible for reviewing their profile information and correcting errors where possible.

GigRdy does not guarantee that automated analysis will identify every relevant skill or accurately reflect an individual's abilities.

Users should not rely solely on automated scores or recommendations when making important project or selection decisions.

GigRdy will handle personal information used by these tools in accordance with its Privacy Policy and applicable law.

13. PRIVACY AND DATA SECURITY

GigRdy's collection, use, storage, and disclosure of personal information are governed by its Privacy Policy, which is incorporated into these Terms by reference once published and made available to users. Users authorize the processing of information reasonably necessary to operate their accounts, facilitate matching, administer projects, process payments, provide support, and maintain Platform security, subject to applicable law and the Privacy Policy.

GigRdy uses reasonable measures intended to protect information but cannot guarantee that any online service or electronic transmission is completely secure.

Users should not submit sensitive information unless it is necessary, requested through an appropriate process, and permitted by applicable law and GigRdy's policies.

14. THIRD-PARTY SERVICES

The Platform may rely on third-party providers for payment processing, hosting, identity verification, communications, analytics, or other services.

Third-party services may be subject to their own terms and privacy policies.

GigRdy is not responsible for independent third-party systems, outages, or actions beyond its reasonable control, except to the extent responsibility cannot be excluded under applicable law.

15. DISCLAIMERS

To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

GigRdy does not guarantee uninterrupted access, error-free operation, a particular number of matches, project availability, worker performance, project completion, or any specific business or employment outcome.

GigRdy does not independently guarantee the accuracy of all user-provided information, credentials, experience, availability, or project descriptions.

Users are responsible for conducting appropriate due diligence and making their own decisions concerning project participation.

Nothing in this section excludes warranties, protections, or rights that cannot legally be excluded.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, GigRdy and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, or loss of data arising from use of the Platform. To the maximum extent permitted by law, GigRdy's aggregate liability arising from or relating to the Platform will be limited to the amount of Platform service fees paid to GigRdy by the relevant user during the three months preceding the event giving rise to the claim.

This limitation does not apply where prohibited by law, including liability that cannot lawfully be limited or excluded.

This section does not eliminate any payment obligations or rights expressly established in a separate signed agreement.

17. INDEMNIFICATION

To the extent permitted by law, users agree to be responsible for claims, losses, liabilities, and reasonable expenses arising from their unlawful conduct, material breach of these Terms, infringement of another person's rights, or misuse of the Platform.

This provision does not require a user to indemnify GigRdy for losses caused by GigRdy's own conduct where such indemnification would be prohibited by law.

18. SUSPENSION AND TERMINATION

GigRdy may suspend, restrict, or terminate access to the Platform if a user materially violates these Terms, engages in suspected fraud or abuse, presents a security risk, or uses the Platform unlawfully.

Where appropriate and legally permissible, GigRdy may provide notice and an opportunity to address a violation.

Users may discontinue use of the Platform and request account closure through the designated process.

Closing an account does not automatically cancel existing project contracts, eliminate outstanding payment obligations, or extinguish rights and responsibilities that survive termination.

GigRdy may retain records where necessary for legal compliance, payment reconciliation, dispute resolution, security, or other lawful purposes, subject to its Privacy Policy and applicable law.

19. CHANGES TO THE PLATFORM OR THESE TERMS

GigRdy may modify or discontinue Platform features and may update these Terms as the business, technology, or applicable legal requirements evolve. Material changes will be communicated through the Platform or another appropriate method where required by law.

The updated Terms will identify their effective date. Continued use after the effective date constitutes acceptance where legally valid.

Where affirmative consent is required by law, GigRdy will obtain that consent.

20. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of [Insert State], without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Any dispute concerning these Terms will be handled in the courts or through the dispute-resolution procedures specified in [Insert Jurisdiction and Applicable Dispute Process], subject to mandatory legal rights and protections.

Any arbitration agreement, class-action waiver, or other restriction on dispute rights must be presented in a legally compliant manner and, where required, accepted separately.

21. GENERAL PROVISIONS

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.

Users may not transfer their rights or obligations under these Terms without GigRdy's prior written consent, except where applicable law provides otherwise.

These Terms, together with the applicable Privacy Policy and any relevant signed agreements, constitute the agreement governing use of the Platform, subject to the terms of any separate written agreement.
